Naace operates as a charity with an associated trading company and as such is required to operate under the scrutiny of a Board of Trustees. Members of the Board, who work voluntarily under charity rules ensure that the Association's business is conducted within the framework of detailed Development and Business Plans. The reporting period for Annual Reports and Accounts is from 1 July - 30 June. Annual Reports fare available here for all Naace Members to download for print. An Overview of the Organisation and Management Structure of Naace 2006-2007Naace has two legal statuses:Charitable statusAs defined by the Charity Commission, Naace is 'An organisation set up exclusively for charitable purposes which carries out activities to achieve the advancement of education.'Trading StatusNaace is not simply a charity. It also carries out commercial activities which are not covered by its charitable status, these are delivered by the subsidiary undertaking Naace Trading Ltd.The responsibilities for fulfilling obligations as a registered charity fall on the Naace Board of Management. Members of the Board are trustees as defined by the Charity Legislation. Responsibility for Naace Trading falls jointly within the remit of the Chair of the Board of Management and the Chair of the Executive. Naace carries out all of its commercial duties within the specifications set out in the Articles and Memorandum of Association. The Chair of the Board of Management and the Chair of the Executive hold responsibility to ensure that the work of Naace falls within the remit contained within these documents. Members of the Board of Management and the Executive Committee are elected by a vote of the membership conducted by postal or email ballot. All elections are conducted according to the system of single transferable vote as defined by the Electoral Reform Society. It is normal practice for a member of the Board of Management to act as Chair of the Board of Management during their second year of office. Induction and training for all Trustees and new members of the Executive Committee, event. At this event, full information packs containing details of strategic priorities, structures, policies, procedures, regulations, and code of practice are distributed for future reference. Board of ManagementThe Board of Management is responsible for the overall strategic direction of Naace, for monitoring activity against the Articles and Memorandum of Association, for scrutiny and approval of the Naace Strategic and One Year Plans, and for risk assessment and management.Executive CommitteeThe Executive Committee is responsible to the Board of Management for the production of the Strategic and One Year Plans, for the delivery of the activities and projects defined in these plans, for co-ordination of the work of the various Sub-committees and Working Groups, for quality assurance of Naace activities and for the guidance given to the professional full-time staff. The Executive Committee receives information, advice and guidance from Sub-committees and Working Groups, and provides these groups with strategic direction. The Executive Committee delegates to Sub-committees and Working Groups much of the day-to-day operation of the Association.Working GroupsThere are three Working Groups and one Sub-committee. Each Working Group represents a different Community within the Naace membership and the Sub-committee develops Quality Assurance Services for the Naace membership.Working Groups liaise directly with their Community to identify and deliver the range of services each requires from the Association. They provide the link between the Members of their Community and the Executive Committee and give advice on policy priorities and direction in relation to that Community. Each Working Group and the Sub-committee contributes to the creation of the Naace Strategic and One Year Plans through representation on the Executive Committee. General SecretaryThe General Secretary leads the Core Team and has overall responsibility for the services provided by the Team. She also provides support to the Board of Management and Executive Committee in the development of the Three and One Year Strategic Plans and ensures their implementation. She is also the person who holds the statutory responsibilities defined for Company Secretaries.Office ManagerThe Office Manager leads the Team on a day-to-day basis. Her key role is to establish the internal processes needed for Naace's Strategic Plans to be achieved. She is more than happy to discuss any problems or issues that there might be relating to how things work within Naace and how they might work better.Reporting and LiaisonEach Working Group and Sub-committee has an ex-officio Executive Committee Member and the support of one or two Members of the Naace Core Team. The Executive Committee Member is responsible for ensuring that the views and expectations of the Executive Committee are understood by the group and also for reporting both formally and informally to the Executive Committee.The Naace Core Team is responsible for supporting the work of the Groups and for their organisation and administration. Where services are delivered through the work of the Naace Office (eg securing the printing and distribution of a publication which has been prepared by the Working Group, or the administration of a CPD event which has been planned and organised by the Working Group) the Naace Core Team Members will provide the link between the Working Group and the Naace Office.
